Terms of Service

These Terms of Service ("Terms") govern your use of the Theia mobile application and related services (the "Service"), provided by Davide Gaglione, Italy ("we", "us", "Theia"). By installing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and able to form a binding contract under the laws of your country of residence.
2. The Service
Theia is a local-first personal-finance assistant. It lets you record and categorise expenses, view insights, optionally connect a bank account through Plaid Inc., and ask questions to an AI assistant. Theia does not require you to create an account: you can use it immediately after installation. Theia is not a bank, a payment institution, an investment adviser, or an accountant. Information shown in the app is for informational purposes only and does not constitute financial, legal, or tax advice.
3. Local-first operation
Your financial data is stored on your device only. We do not operate a server that holds a copy of it, and we cannot recover it if you lose your device, reinstall the app without a backup, or reset the app. It is your responsibility to back up or export your data if you wish to preserve it.
4. Bank connections via Plaid
When you choose to connect a financial institution, you authorise Plaid Inc. to access that institution on your behalf and to return the resulting information to the app on your device. You can disconnect a bank at any time from within the app; this revokes ongoing access and deletes the associated access token from your device Keychain. Use of Plaid is subject to Plaid's own End User Privacy Policy and terms.
5. AI assistant
The in-app assistant uses an open-weight large language model (currently Llama 3.3 70B Instruct) accessed via OpenRouter and its inference partners (Cerebras, Groq). When you send a message, the app transmits your question, up to six previous messages of the current conversation, and a computed summary of the transactions needed to answer — including merchant names, amounts, dates, and categories in cleartext. See the Privacy Policy for the exact list. Responses are AI-generated, may be inaccurate, incomplete, or biased, and must not be relied upon for financial, legal, or tax decisions. Do not send information you do not wish to share with our processors; you can clear the conversation at any time from inside the app. Pursuant to Article 50 of Regulation (EU) 2024/1689 ("AI Act"), we inform you clearly that you are interacting with an AI system.
6. Subscriptions and billing
Theia offers a free trial (typically the first week) followed by a recurring subscription at the price displayed in-app before purchase. Subscriptions are purchased, managed, and billed through the Apple App Store using Apple's StoreKit framework and auto-renew unless cancelled at least 24 hours before the end of the current period. You can manage or cancel your subscription at any time from your Apple ID settings. Except where required by mandatory consumer law, payments are non-refundable; any eligible refund must be requested directly from Apple.
7. Acceptable use
You agree not to: (a) use the Service in violation of any law; (b) attempt to gain unauthorised access to the Service, its code, or third-party systems it relies on; (c) reverse engineer, decompile, or tamper with the Service except as permitted by law; (d) use the Service to process data that does not belong to you or that you have no authority to submit; (e) overload, probe, or disrupt the Service or its processors.
8. Intellectual property
The Service, including all software, designs, icons, and text we provide, is owned by Davide Gaglione and is protected by applicable intellectual-property laws. You retain all rights to the content and financial records you enter or import; because that content stays on your device, you also retain sole control over it.
9. Termination
You may stop using the Service at any time by resetting the data from within the app (Settings → Data → Delete All Data) or by uninstalling the app. We may withdraw the Service, in whole or in part, at any time, for example if operating it becomes commercially or legally unreasonable; where possible we will give reasonable notice in-app.
10. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully accurate, and we do not guarantee availability of the AI assistant or of third-party services such as Plaid or Frankfurter.
11. Limitation of liability
To the maximum extent permitted by law, Davide Gaglione will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) EUR 50. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, wilful misconduct, or death or personal injury caused by negligence.
12. Governing law and venue
These Terms are governed by the laws of Italy, without regard to its conflict-of-laws rules. Subject to any mandatory consumer-protection rules of your country of residence, the exclusive venue for disputes is the competent courts of Italy. EU consumers may also use the European Commission's ODR platform at ec.europa.eu/consumers/odr.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will notify you in-app before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
